2016 Annual Meeting Minutes

Annual Meeting of the Members

Granby, Colorado

May 14, 2016

9:15 A.M.

           

Location

MPEI’s 67th Annual Meeting of the members was held at Mountain Parks Electric headquarters office, 321 West Agate Ave., Granby, CO 80446.

 

Call to Order

General Manager Tom Sifers called the meeting to order at 9:15 a.m.

 

Prayer & Pledge of Allegiance and National Anthem

Rod Sale, Retired MPEI Employee led a prayer followed by the Pledge of Allegiance and National Anthem.

 

Close Registration

General Manager Tom Sifers closed member registration.

 

Introductions

General Manager Tom Sifers introduced the MPEI Board of Directors, MPEI Attorney and Special Guests. 

 

Determination of Quorum

Attorney Williamson reported that 154 members had registered. An official quorum was present.   

 

Proof of Mailing/Election of Directors

Attorney Williamson acknowledged the notice of the Annual Report/Annual Meeting and “Proof of Mailing” with 16,601 Annual Reports mailed on March 31, 2016. 

 

Approval of Minutes

Attorney Williamson presented the minutes of the May 16, 2015 MPEI Annual Meeting for approval.

 

MOTION:  Member Carl Montoya moved to approve MPEI’s May 16, 2015 Annual Meeting minutes as presented in the Annual Report.  The motion passed unanimously.

 

MPEI Bylaw and Articles of Incorporation Changes

Attorney Williamson explained the proposed amendment to MPEI’s Bylaws, Article IV, Sections 1 & 2 and the proposed amendment to MPEI’s Articles of Incorporation, Article V, Section 1.  The MPEI Board of Directors voted to propose the amendments to the membership.  Each member received a floor ballot at registration to vote on the proposed amendments.    

 

District 1 Election Results

Attorney Williamson reported that incumbent director Liz McIntyre ran uncontested for the District 1 director position and therefore she is deemed elected for a three (3) year term. 

 

District 3 Election Results

Attorney Williamson reported that incumbent director Carl Trick ran uncontested for the District 3 director position and therefore he is deemed elected for a three (3) year term.

 

Collection of Floor Ballots

Attorney Williamson called for ballots to be collected and tallied by Mountain Parks Electric’s Election Committee.

 

President’s Report

MPEI President Greg Norwick presented his report. 

 

Operation Round Up Report

Clare Rutila, Charitable Trust President presented an update on MPEI’s Charitable Trust.

 

Green Power Program Report

Liz McIntyre, Green Power Committee Member, presented a report on MPEI’s Green Power Program.

 

Scholarship Award Presentations

MPEI Directors announced the following scholarship winners:

  • Megan Cameron of West Grand High School was awarded a $2,000 Mountain Parks Electric Academic Scholarship.
  • Yvette Garcia of West Grand High School was awarded a $2,000 Mountain Parks Electric Academic Scholarship.  
  • Charlee Manguso of West Grand High School was awarded a $2,000 Mountain Parks Electric Academic Scholarship.
  • Makayla Douthit of North Park High School was awarded a $2,000 Mountain Parks Electric Academic Scholarship.  
  • Kaylee Elliott of North Park High School was awarded a $2,000 Mountain Parks Electric Academic Scholarship.
  • Shelby Fliniau of North Park High School was awarded a $2,000 Mountain Parks Electric Academic Scholarship.
  • Blake Russell of North Park High School was awarded a $1,000 Tri-State/Mountain Parks Electric Matching Scholarship.
  • Chance Martin of Middle Park High School was awarded a $2,000 Mountain Parks Electric Academic Scholarship.
  • Logan Miyauchi of Middle Park High School was awarded a $1,000 Scholarship Committee Award.
  • Georgia Feek of Middle Park High School was awarded a $2,000 Mountain Parks Electric Academic Scholarship.
  • KyAnn Jenkins of North Park High School was awarded a $1,000 Basin Electric Scholarship.
  • Bradley Lutz of Middle Park High School was awarded a $2,000 Mountain Parks Electric Academic Scholarship.
  • Ashley Johnson of North Park High was awarded a $2,000 Mountain Parks Electric Academic Scholarship.
  • Sarah McClain of Middle Park High School was awarded a $1,000 Tri-State/Mountain Parks Electric Matching Scholarship. 
  • Sydney Almgren of West Grand High School was awarded an all expenses trip to Washington D.C. for her energy related essay.
  • Ashley Trotter of Middle Park High School was awarded an all-expense paid trip to Youth Leadership Camp.
  • Jill Wilkinson $500.00 recognition award.

 

General Manager Report    

MPEI General Manager Tom Sifers presented his report and a series of polling questions.  

 

Open Forum

Greg Norwick, MPEI Board President, and General Manager Tom Sifers opened the meeting to an open forum for questions or concerns of the membership. Several questions were asked by members.  

 

Old Business

No old business.

 

New Business

Attorney Williamson reported that the amendments to MPEI’s Bylaw and Articles of Incorporation were approved. The cooperative received 143 floor ballots 2 were voided due to the Election Committee being unable to ascertain the voter’s intention. The results are as follows: Yes votes-126 and No votes-15.

Door prizes were drawn and presented to MPEI members. A list of the door prize recipients is attached and forms a part of these minutes.
