Present: Liz McIntyre, Justin Fosha, Cray Healy, Mark Volt, Ty Wattenberg, Ryan Zorn, Mike Sjobakken, Wade Pynes, Jodi King, Adam Paulson, Aaron Street, Joe Palmer, Eric Jones, Sue Henderson, Angie Wallace, Helen Sedlar, Abbey Brower with Williamson, Lowery, Fredregill, and Bryson Fredregill attended in person. Virginia Harman was not present.
Call to Order
President Liz McIntyre called the meeting to order at 8:00 a.m.
Determination of Quorum
A quorum was declared.
Public Comment
The following entered the meeting in person: Callie Freitag, Karla Gonzalez, Sky Paeglow, Tiffany Freitag and Jared Freitag.
The following entered the meeting remotely: Alek Guziuer, Josie Meyring, and Van Mont.
Helen Sedlar introduced Freitag, Gonzalez, Guziuer, Meyring, and Mont as scholarship winners and presented a certificate to each of them. Each scholarship winner spoke with the Board about their future plans and career goals.
All members of the public left the meeting, except Gaines, Paeglow, Gonzalez, and Holmes.
Gaines introduced herself as a teacher at West Grand High School and explained that she took six students on a trip to California in connection with the Patient Care Technician (PTC) class that she teaches. MPE provided a grant for this trip. PTC students Paeglow, Gonzalez, and Holmes presented a slideshow of the trip and explained they attended Stanford University’s cadaver lab and the Bodies Museum in San Jose.
Gaines, Paeglow, Gonzalez, and Holmes left the meeting.
Sedlar left the meeting.

Bills for Payment
MOTION: It was properly moved, seconded, and carried to approve the consent agenda as presented.
Department Reports
Operations Report
Adam Paulson presented the Operations Report. Paulson reported that the PANO cameras assisted in notifying emergency services of a fire near Williams Fork and that MPE was available to support emergency response efforts within minutes. Paulson commended emergency services’ response to the fire.
Paulson reported that communications regarding outages continue to be sent to members. Paulson explained that current conditions and sensitive system settings expectedly generate more outages but that most outages are smaller in scale compared to last year. Paulson explained that MPE’s SAIDI has improved from last year when one considers that MPE entered fire settings much earlier than usual (March) but that MPE’s SAIDI in 2026 is comparable to MPEI’s SAIDI in 2025.
Paulson highlighted that two linemen recently passed their journeyman test. The Board expressed their congratulations to these linemen.
Megan Moore-Kemp entered the meeting at 8:49 a.m.
Engineering Report
Sue Henderson presented the Engineering Report. Henderson reported that MPE received its first SPP bill for April. Henderson explained that SPP uses a 12-month fixed average, which means that MPE’s monthly bill will be fairly consistent allowing for effective forecasting for MPE. Henderson explained that Tri-State Generation and Transmission’s coincident peak was incorrect, which Henderson has disputed and expects resolution in 365 days.
Henderson reported that MPE’s consultant has determined that MPE does not have to registerer with NERC because MPE does not meet the 75MW threshold. Henderson explained that standards a utility must meet once it registers with NERC are onerous and that penalties for non-compliance are severe.
Finance Report
Information Technology (IT) Report
Joe Palmer presented the Information Technology Report. Palmer reported that the Department of Energy Cybersecurity Capability Maturity Model (C2M2) assessment will be scheduled for September. Palmer provided information on Passkeys and how they protect against phishing, one of MPE’s top security risks. Palmer also reported that MPE is waiting for BLM to approve Jackson County’s tower replacement permit, which was submitted in May. MPE utilizes the tower for communications purposes.

Human Resources, Safety, and Administration Report
Angie Wallace presented the Human Resources, Safety, and Administration Report. Wallace provided updates on open positions and hiring.
Member Relations and Communications Report
Aaron Street presented the Member Relations and Communications Report. Street reported that social media accounts are followed closely for member comments so that MPE may communicate timely and effective information to members.
Street highlighted the ACSI survey results, and he is exploring how other cooperatives use the survey. Street recommends exploring alternative ways to collect responses to the ACSI survey. Street explained that MPE keeps a feedback form on its website as well.
President McIntyre recessed the meeting at 9:45 a.m. and reconvened the meeting at 10:01 a.m.

Sustainable Grand Update
Helen Brown presented an update on Sustainable Grand, including energy assessments, education outreach, and workforce development. Discussion took place.

AI SOP
Joe Palmer presented the AI Standard Operating Procedure, which seeks to encourage the responsible use of AI by MPE employees while maintaining security. Palmer also discussed the use of AI within MPEs software environments and that MPEs confidentiality is maintained within those environments. Discussion took place.
Helen Sedlar and Megan Moore-Kemp entered the meeting at 10:17 a.m.
CTO Web Version Setup
Adam Walker entered the meeting at 10:26 a.m.
Joe Palmer presented the CTO Web Version Setup. Palmer and Walker assisted directors with the setup process on their iPads and demonstrated how to use various features on the web version.

Action Items
BOOST Program
Megan Moore-Kemp presented the BOOST Program and stated that staff recommend that BOOST become a permanent program of MPE.
MOTION: It was properly moved, seconded, and carried to approve the BOOST Program as a permanent program and approve staff to make changes as needed to the program.

Unclaimed Capital Credit Requests
President McIntyre presented requests for funding from the unclaimed capital credits fund.
McIntyre presented a request from North Park School District in the amount of $5,000.00 for bleachers for football games, baseball games, and community use.
MOTION: It was properly moved, seconded, and carried to fully fund the North Park School District request for bleachers for use at the football and baseball fields at the high school and at other community events in the amount of $5,000.00.
McIntyre presented a request from Grand County Wildfire Council in the amount of $20,000.00 for hazardous fuels reduction efforts in the Grand County West Granby Fuels Corridor. Discussion took place and the Board requested that Grand County Wildfire Council come speak at the August board meeting to provide additional information for the Board to consider.
McIntyre presented a request from Troublesome Horse Rescue in the amount of $22,500.00 for arena lights and outlets. Discussion took place and no action was taken.
Board Open Forum, Committee Reports, Association Reports
There were no committee reports.
Ryan Zorn reported on the most recent CREA meeting on June 26, 2026, which was held virtually. Zorn reported on the draft wildfire legislation and explained that Senator Roberts is asking for grassroots support for the legislation. Zorn reported that parametric insurance will be discussed at the CREA manager’s meeting on August 3, 2026, as a potential supplement for insurance coverage related to wildfire liability.
Mark Volt reported that Western United paid out all of its 2020 patronage to its membership. Volt reported that revenue is down 14% but that membership is up with one or two requests each meeting. The next Western United meeting is August 27, 2026.
President McIntyre shared on her attendance at the JOLT Conference. President McIntyre recognized that Megan Moore-Kemp did a good job moderating the cooperative panel.
Upcoming Events
The Middle Park Jr. Livestock Sale is Saturday, August 8, 2026, at 5:00 p.m. Adam Paulson will find someone to attend to represent MPE.
The Middle Park Fair and Rodeo named MPE citizen of the year. A luncheon to honor MPE will be held Saturday, August 8, 2026, at 12:00 p.m. Aaron Street requested that directors let him know if he or she are able to attend the luncheon.
The Member Appreciation Event is Wednesday, September 2, 2026, at Polhamus Park in Granby, CO.
Coffee with MPE events are currently being scheduled.
Both the Executive Committee and the Member Relations Committee need to schedule meetings prior to July 27, 2026, to review policies for the August meeting.

MOTION: It was properly moved, seconded, and carried to enter into executive session at 11:30 a.m. for confidential and privileged discussion regarding power supply, legal matters, employee matters, New ERA, a CREA update, and the risk and strategy report with the following present: all directors present at the meeting, Wade Pynes, Adam Paulson, Bryson Fredregill, and Abbey Brower. Sue Henderson and Eric Jones were present for the discussion regarding legal matters.
